1. Acceptance of Terms

By downloading, installing, accessing, or using the Capital Copilot mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Capital Copilot ("we," "us," or "our").

If you do not agree to all of these Terms, you must not download, install, or use the App. Your continued use of the App constitutes your acceptance of these Terms and any updates or modifications to them.

Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to use this App. By using the App, you represent and warrant that you meet this age requirement.

2. Description of Service

Capital Copilot is a personal finance management application that allows users to:

  • Manually track expenses and income
  • Categorize and organize financial transactions
  • View spending reports, insights, and analytics
  • Set and monitor budgets
  • Export financial data

Important: Capital Copilot does NOT connect to your bank accounts or financial institutions. All transaction data is entered manually by you.

3. User Account

To access certain features of the App, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Not share your account credentials with any third party
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or no longer current.

4. Acceptable Use Policy

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the App for any unlawful or fraudulent purpose
  • Use the App to track illegal transactions or activities
  • Attempt to gain unauthorized access to the App, servers, or systems
  • Interfere with or disrupt the operation of the App or its infrastructure
  • Introduce viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble the App
  • Copy, modify, distribute, sell, or lease any part of the App
  • Use automated systems, bots, or scripts to access the App
  • Circumvent any security features or access controls
  • Use the App in any way that could damage, disable, or impair the service
  • Violate any applicable laws, regulations, or third-party rights

5. User Data and Content

5.1 Your Data

You retain ownership of all financial data and information you enter into the App ("User Data"). You are solely responsible for the accuracy, quality, and legality of your User Data.

5.2 License to Use Your Data

By using the App, you grant us a limited, non-exclusive license to use, process, and store your User Data solely for the purpose of providing and improving our services to you. We will not use your data for any other purpose without your explicit consent.

5.3 No AI Training

We do NOT use your User Data to train artificial intelligence or machine learning models. Your financial data is used exclusively to provide the App's services to you.

5.4 Data Backup

While we implement reasonable backup procedures, you are responsible for maintaining your own backup of important data. We recommend periodically exporting your data using the App's export feature.

6. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

7.1 Our Intellectual Property

The App, including its design, features, content, graphics, logos, and software, is owned by Capital Copilot and protected by United States and international intellectual property laws. All rights not expressly granted in these Terms are reserved.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your personal mobile device solely for your personal, non-commercial use.

7.3 Restrictions

You may not:

  • Copy, modify, or create derivative works based on the App or any part of it
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use our trademarks, logos, or brand elements without prior written permission
  • License, sell, rent, lease, or otherwise transfer the App or any rights to it

8. Third-Party Services

The App uses third-party services to operate, including:

  • Supabase: For secure data storage
  • Firebase Crashlytics: For crash reporting and diagnostics
  • Apple App Store: For app distribution and in-app purchases (if applicable)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of these third-party services.

9. Disclaimers

9.1 No Financial Advice

CAPITAL COPILOT DOES NOT PROVIDE FINANCIAL, TAX, INVESTMENT, OR LEGAL ADVICE. THE APP IS FOR INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY.

  • The App is designed to help you track and organize your personal finances
  • Reports, insights, and analytics are for informational purposes only
  • You should consult qualified professionals for financial, tax, or investment decisions
  • We are not a licensed financial advisor, accountant, or tax professional
  • We are not responsible for any financial decisions you make based on App data

9.2 Service "As Is"

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free operation
  • Security or freedom from viruses or harmful components

9.3 Data Accuracy

You are solely responsible for verifying the accuracy of all data you enter and calculations generated by the App. We do not guarantee the accuracy of reports, totals, or other calculations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAPITAL COPILOT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Financial losses resulting from reliance on App data or calculations
  • Damages resulting from unauthorized access to your account or data
  • Damages resulting from interruption, suspension, or termination of service
  • Damages resulting from bugs, errors, or inaccuracies in the App
  • Any damages arising from your use or inability to use the App

IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Capital Copilot, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Any data or content you submit to the App

12. Account Termination

12.1 Termination by You

You may terminate your account at any time by using the account deletion feature in the App (Settings > Account > Delete Account) or by contacting us at support@capitalcopilot.app. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12.2 Termination by Us

We may suspend or terminate your account and access to the App at any time, with or without cause or notice, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Discontinuation of the App or service

12.3 Effect of Termination

Upon termination, your right to use the App immediately ceases. Sections that by their nature should survive termination will survive, including but not limited to: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

13. Service Modifications

We reserve the right to modify, suspend, or discontinue the App (in whole or in part) at any time with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the App.

14. Changes to Terms

We may modify these Terms at any time. When we make material changes:

  • We will update the "Last updated" date at the top of these Terms
  • We will notify you via email or in-app notification
  • We may require you to accept the new Terms before continuing to use the App

Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the App and terminate your account.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall first be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration or litigation as set forth below.

15.3 Arbitration Agreement

You and Capital Copilot agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration, rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

The arbitration will be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall take place in Delaware or, at your election, online or by phone.

15.4 Class Action Waiver

YOU AND CAPITAL COPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Capital Copilot regarding the App and supersede all prior agreements.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Capital Copilot.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or government actions.
